Rule 20:78:01:01 Election of officers.

          20:78:01:01.  Election of officers. The board shall elect officers at the May or June meeting.

Rule 20:78:01:02 President.

          20:78:01:02.  President. The president is the principal executive officer of the board and, subject to the control of the board, shall supervise the business of the board. The president shall preside at board meetings. The president may sign, with the secretary or another officer authorized by the board, any instruments which the board has authorized to be executed. The president shall perform all duties incident to the office of president and any other duties assigned by the board. The president may appoint an executive secretary subject to confirmation by the board.

Rule 20:78:01:03 Vice president.

          20:78:01:03.  Vice president. The vice president shall perform the duties of the president when the president is absent, is unable to act, or refuses to act. The vice president shall perform any other duties assigned by the president or by the board.

Rule 20:78:01:04 Secretary.

          20:78:01:04.  Secretary. The duties of the secretary are as follows:

 

          (1)  Keep the minutes of the board meetings in a book provided for that purpose;

 

          (2)  Give all notices as required by law;

 

          (3)  Be custodian of the board records and of the seal of the board and see that the seal of the board is affixed to documents as authorized by the board;

 

          (4)  Keep a register of the post office address of each licensee which is provided to the board by each licensee;

 

          (5)  Be responsible for all funds and securities of the board, receive and give receipts for money paid to the board, and deposit all such moneys in the name of the board in the depositories selected by the board;

 

          (6)  Sign, with the president or another officer authorized by the board, any instruments which the board has authorized to be executed;

 

          (7)  Perform all duties incident to the office of secretary and any other duties assigned by the president or by the board.

 

          The board may require its executive secretary to perform any of the duties of the secretary.

Rule 20:78:01:05 Quorum for conduct of business.

          20:78:01:05.  Quorum for conduct of business. A majority of the board constitutes a quorum for the transaction of all business at any regular or special meeting.

Rule 20:78:01:06 Special meetings.

          20:78:01:06.  Special meetings. Special meetings of the board may be called by the president or any three members of the board. Special meetings may also be set by action of the board at any regular or special meeting of the board. The notice of the meeting or action of the board shall establish the time and place for the meeting.

Rule 20:78:01:07 Notice of special meetings.

          20:78:01:07.  Notice of special meetings. At least 10 days notice of a special meeting shall be given to any member of the board not calling the meeting or not in attendance at the meeting at which a special meeting was called. The notice shall state the time and place for the special meeting and whether the meeting is called for the consideration of one or more specific issues or for consideration of all matters that come before the board.

          20:78:01:08.  Requests for board information. Requests for board information shall be sent in writing to the executive secretary at the office of the board.
